Welcome to Eveyil! Thanks for joining our Term Partnership program.

These following terms and conditions apply to individuals who are accessing or using the Program both as a Term Partner (“we” or “Term Partner”) and an standard affiliate (“you” or “standard affiliate”) who refers customers to use a product or service from the merchant.

By participating in the Program, the partner agrees to use the Program in the manner specified in and is bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Partner or participate in the Program in any manner.

1. The term partnership fee cannot be changed once a term has started. Any changes to the fees require dismissal of the older term and making of a new Partnership term contract, with mutual agreement needed between the Term Partner and Eveyil New York.
2. Eveyil New York reserves the right to terminate the partnership agreement at any time if the Term Partner engages in any fraudulent, unethical, or illegal practices.
3. Eveyil New York reserves the right to modify the partnership program terms and conditions at any time. The Term Partner will be notified of any such changes in advance via email.
4. Termination clause: Either party may terminate the partnership agreement with written notice if the other party breaches any of the terms and conditions of the agreement.
5. Confidentiality clause: The Term Partner agrees to keep all confidential information received from Eveyil New York, including but not limited to customer information, sales figures, and product information, confidential and not to disclose such information to any third party.
6. Representations and warranties: The Term Partner represents and warrants that it has the necessary expertise, experience, and resources to perform its obligations under the agreement and that it will comply with all applicable laws and regulations.
7. Indemnification: The Term Partner agrees to indemnify and hold harmless Eveyil New York from any claims, damages, or expenses arising out of any breach of the agreement by the Term Partner or any negligent or willful act or omission by the Term Partner.
8. Governing law and jurisdiction: The agreement will be governed by the laws of the state or country where Eveyil New York is located, and any disputes arising out of or in connection with the agreement will be resolved by arbitration in accordance with the rules of the American Arbitration Association.
9. Relationship of the Parties: The parties agree that they are independent contractors and that nothing in the agreement creates an agency, partnership, or joint venture relationship between them.
10. Dispute Resolution: In the event of any disputes arising out of or relating to the partnership agreement, the parties agree to first attempt to resolve the dispute through mediation. If mediation fails, the dispute will be resolved through binding arbitration in accordance with the rules of the governing law.
11. Entire Agreement: The partnership agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.

·       Approval or Rejection of the Registration

·       We reserve the right to approve or reject ANY Term Partnership program Registration at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Fashion Expert Program Registration.

·       Affiliate Links and Coupons

·       The partnership affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.

·       An partner might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If the customer both clicks on the affiliate link and uses the coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.

·       The partner may also advertise Eveyil NY website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.

·       Commissions and payment

·       Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on the Commission structure. The commission amount is dependent on order value and does not include extra fees (tax, shipping cost,...).

·       For a Term Partner or standard affiliate to receive a commission, you need to specify the payment details on Settings. The payment schedule will be notified on the term partner affiliate/standard partner guide page.

·       Payments will only be sent for transactions that have been successfully completed. Use of the term partner affiliate/standard affiliate program is subject to a fair use policy which gives Eveyil NY the right to review each and every referral order. The status of the commission is displayed in the Commission tab, any paid commission will be listed on the Payment tab. Transactions that result in chargebacks or refunds will not be paid out. If the total sales of all your referrals decrease and fall below the threshold from a higher commission tier, you will be demoted to the previous or the corresponding tier based on your total referral sales number.

·       Marketing tool

·       We may share promotion media such as banners, logo, or specific collection promotions with you through the Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.

·       Cookie

·       We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.

·       If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.

·       Cookies day is said on the term partner affiliate/standard affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within cookie time, every order made by this customer at the Eveyil NY website will automatically result in commissions to the fashion expert affiliate (There’s no need for the customer to click on the affiliate link then).

·       Removal from the Partnership Program

·       If an affiliate wishes to be removed from the term partner affiliate/standard affiliate program, they can do so by contacting: hello@eveyil.com.

This Privacy Policy of Eveyil New York about the Term partner affiliate/standard affiliate marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates, and customers regarding their respective data.

By joining the Term partner affiliate/standard affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by Eveyil New York under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Affiliates

When a Term partneraffiliate/standard affiliate signs up to join a program, we collect some information to inform Eveyil NY such as email, personal information, payment details, and social network information,...The information would help Eveyil NY evaluate affiliate background and potential, along with process-specific activities within the app, and contact affiliates if needed.

Information collected from Customers when visiting Eveyil NY website

In order to track referral orders, when customers visit Eveyil NY website and make a purchase, the UpPromote system will collect information about the order such as total order, order items, and order ID.

Use of Eveyil NY partnership program app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

We at Eveyil NY understand that you have rights over your personal information, and take reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information.
